Temply Terms of Service

1. Acceptance of Terms

By purchasing, downloading, or accessing Temply you agree to these Terms of Service. If you buy on behalf of a company or client you confirm you have authority to bind that organisation.

2. What You Receive

• A license to use the Temply source code, UI kit, and documentation
• Access to future template updates released during your plan term (lifetime licences receive perpetual updates)
• Community and support channels described on the pricing page

3. Licence Grant

We grant you a non-exclusive, non-transferable licence to use Temply for your own SaaS products and, if you purchased an agency/lifetime plan, for client projects. You may modify the codebase for your needs but you may not redistribute, open-source, or resell the template itself.

4. Acceptable Use

• Don’t share the download link or source code outside your organisation or paid client engagements
• Don’t remove licence notices when redistributing compiled binaries to end customers
• Don’t use Temply to build products that violate applicable law or intellectual property rights
• If you run a Boilerplate-as-a-Service business, contact us for an OEM licence first

5. Accounts & Security

• Keep your account credentials safe and restrict access to authorised teammates
• Notify us immediately if you suspect your download link or repo access was compromised
• We may suspend access when we detect abuse, fraud, or violations of these terms

6. Payments & Refunds

All fees are charged upfront through Stripe, Lemon Squeezy, or Paddle. Unless a payment plan is specified, licences are non-recurring. Because Temply is a digital product, refunds are only provided within 7 days of purchase if you have not cloned or downloaded the repository, except where required by law.

7. Updates & Third-Party Services

We may ship updates, security fixes, or new sections at our discretion. Some features rely on third-party APIs (OpenAI, Stripe, etc.); you are responsible for complying with their terms and supplying your own API keys.

8. Support

Support scope is described on the pricing page. We answer questions via Discord or email on a best-effort basis during business hours and may provide additional paid services on request.

9. Termination

We can revoke access if you breach these terms or fail to pay. You may stop using Temply at any time. Clauses related to licence scope, confidentiality, indemnity, and liability survive termination.

10. Disclaimer & Limitation of Liability

Temply is provided “as is”. To the fullest extent permitted by law we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Our total liability for any claim is limited to the amount you paid in the 12 months before the event giving rise to the claim. We are never liable for indirect, incidental, special, or consequential damages.

11. Governing Law

These terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles. WU ENTERPRISES USA INC operates under Delaware jurisdiction. Disputes will be handled in Delaware courts unless both parties agree in writing to arbitration or another venue.
